These Terms and Conditions (“Terms” or “Terms of Use”) are an electronic record published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and terms of use for access or usage of website and its mobile application, and other provisions of the Information Technology Act, 2000, rules made thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

M/s MedLynx Solutions Private Limited, which also includes its subsidiaries and affiliates is a company registered under the Companies Act, 2013, with its registered office at 7/382-1, Krishna Nagar L N Puram, Puthur Palakkad, Palakkad, Kerala 678005, India. M/s MedLynx Solutions Private Limited is the author and publisher of the internet resource www.quikpharma.com (“Website”) on the World Wide Web as well as the software and applications (including mobile application) under the brand name ‘Quik Pharma’ (Website, software and mobile application are hereinafter collectively referred to as the “Platform”, “Application” or the “Quik Pharma Application”).

The terms “You”, “Your”, or “User” refer to any person accessing the Platform. “Quik Pharma”, “We”, “Us”, or “Company” refers to M/s MedLynx Solutions Private Limited.

PLEASE CAREFULLY READ THE FOLLOWING TERMS OF USE OF THE PLATFORM. THESE TERMS OF USE, TOGETHER WITH THE PRIVACY POLICY AVAILABLE ATwww.quikpharma.com AND OTHER POLICIES WHICH MAY BE APPLICABLE TO SPECIFIC PORTIONS OF THIS PLATFORM CONSTITUTE THE TERMS OF YOUR ACCESS TO AND USAGE OF THE PLATFORM. BY CLICKING ON THE 'I ACCEPT' BUTTON AT THE END OF THIS PAGE OR ACCESSING OR USING THIS PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, THE PRIVACY POLICY AND OTHER POLICIES WHICH MAY BE APPLICABLE TO THIS PLATFORM. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS OF USE, THE PRIVACY POLICY, AND OTHER POLICIES WHICH MAY BE APPLICABLE TO SPECIFIC PORTIONS OF THE PLATFORM PLEASE DO NOT ACCESS OR USE THE PLATFORM.

These Terms of Use, the Privacy Policy together with any other policies or additional terms which may be applicable to specific portions of the Platform and any disclaimers which may be present on the Platform are referred to as the "Agreement".

We are not required to notify You, whether as a Registered User/Pharmacy/Distributor or not, of any changes made to the Terms. The revised Terms shall be made available on the Platform. Your use of the Platform and the services provided thereon (“Services”) shall be subject to the most current version of the Terms made available on the Platform, at the time of such usage. You are requested to regularly visit the Platform to view the most current Terms. It shall be your responsibility to check the Terms periodically for changes. We may require You to provide Your consent to the updated Terms in a specified manner prior to any further use of the Platform and/or the Services. If no such separate consent is sought, Your continued use of the Platform, following changes to the Terms, will constitute your express acceptance of those changes.

Quik Pharma reserves the right to add periodical updates, additional features, modification of Platform, removal of some features depending on the market requirements and policy changes.

The Services on this Platform are available only in India. However, visitor outside India may browse through the information provided on the Platform.

The Agreement supersedes all previous oral and written terms and conditions (if any) communicated to You.

1. The Platform

1.1 Users:

"Non-Registered Users" are users who are not registered with the Platform but may access information on the Platform. Certain features of the Platform are available to Registered Users/Pharmacies/Distributor only.

"Medicine Buyers" or “Buyers” are patients or representative of patients, who are registered with the Platform by creating an account by providing requisite information for the purpose of purchasing medicine, drugs, other healthcare and consumer products from Pharmacies.

“Pharmacies” are licensed retail sellers of medicine, drugs, other healthcare and consumer products, which are registered with the Platform by creating an account by providing requisite information.

“Distributors” are licensed supplier of medicine, drugs and other medical supplies to Pharmacies, which are registered with the Platform by creating an account by providing requisite information.

Medicine Buyers, Pharmacies and Distributors are collective referred to as “Registered Users”.

Registered Users and Non-Registered Users are collectively be referred to as "Users".

1.2 Eligibility to use:

Use of the Platform and the Services therein is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872, including minors etc. are not eligible to use the Platform. The Platform shall also not be available to any Users suspended or removed from the Our system for any reason whatsoever. If You do not conform to the above qualification, You shall not access the Platform or will not be permitted to use the Platform. By accessing and using this Platform, You represent that You are of legal age to form a binding contract and are not a person barred from receiving Services under the laws as applicable in India. Notwithstanding the foregoing, if You are below the age of eighteen (18) years, You may avail the Services provided by the Platform through Your legal guardian in accordance with the applicable laws. Company reserves the right to terminate your registration and / or refuse to provide you with access to the Platform if it is brought to OUR notice or if it is discovered that you are under the age of 18 years. We reserve the right to refuse access to the Platform or provision of the Services to new Users or to terminate access granted to existing Users at any time without according any reasons for doing so and You shall have no right to object to the same.

1.3 Services:

Quik Pharma is an online connectivity platform which enables the Medicine Buyers to connect to nearby Pharmacies and Pharmacies to connect to the Distributors for their purchases of medicines, healthcare and consumer products and making online payments. In this process, Quik Pharma does not involve in any sort of trading and sales activities other than connecting a seller and a buyer.

Quik Pharma may levy an amount of fees and charges, as decided by Quik Pharma, to the Registered Users for availing the Services.

2. General Terms for Users

2.1 For All Users (Registered Users and Non-Registered Users)

  1. You shall use the Platform and its features only in compliance with all applicable Indian laws and solely for purposes permitted under this Agreement.
  2. You shall not deliberately use the Platform in any unlawful manner or in a way that harms Quik Pharma, its directors, employees, affiliates, partners, service providers, other Users, or the data/content available on the Platform.
  3. You understand that during registration and use of the Platform, You may receive notifications including OTPs, transaction alerts, order updates, reminders, and service-related messages on your registered mobile number. You consent to receive such communications and agree to keep your contact details accurate and updated.
  4. The Services are provided on an “as is” and “as available” basis without any warranties, express or implied, including warranties of merchantability, accuracy, fitness for a particular purpose, title, or non-infringement. Quik Pharma disclaims all liability arising from User reliance on Platform content or services.
  5. If You provide fraudulent, inaccurate, or incomplete information, Quik Pharma reserves the right to suspend or terminate Your access immediately. You agree to indemnify Quik Pharma for any losses resulting from such actions.
  6. By using the Platform, You authorize Quik Pharma and its partners to contact You via email, phone, or message for service-related communication, product information, and promotional offers, irrespective of DND/DNC/NCPR registration.
  7. Quik Pharma assumes no responsibility for damage or viruses affecting Your device due to Platform usage or downloads. If dissatisfied, Your sole remedy is to stop using the Platform.

2.2 For Registered Users

  1. You acknowledge that Quik Pharma is only a technology platform and does not provide pharmacy or healthcare products or services.
  2. Quik Pharma displays information provided by Registered Users such as location, hours, and profiles. While reasonable efforts are made to update such information, Quik Pharma is not liable for inaccuracies or incompleteness.
  3. The Platform enables interaction between Registered Users. Quik Pharma shall not be liable for order cancellations, payment failures, misplaced consignments, or non-receipt of payments between Users.
  4. Quik Pharma does not recommend or endorse any Registered User and does not guarantee the quality of their products or services.
  5. You shall obtain all necessary consents and approvals before posting or sharing any content on the Platform.
  6. You may use the Platform on behalf of family members or friends; however, You shall be solely responsible for all activities conducted through Your account.
  7. The Platform may contain links to third-party websites, affiliates, or payment gateways. Quik Pharma has no control over such websites and shall not be responsible for their content, accuracy, or services. Use of such links is at Your own risk.

2.3 Limitation of Liability

Without prejudice to the generality of the above, Quik Pharma shall not be liable for:

Quik Pharma acts solely as an “intermediary” as defined under the Information Technology Act, 2000 and the rules framed thereunder. Being an intermediary, Quik Pharma has no responsibility or liability with respect to Users’ content, transactions conducted on the Platform, information provided by Registered Users, or interactions between Users.

Quik Pharma is under no obligation to pre-screen or monitor Users’ content. However, Quik Pharma reserves the right to monitor, remove, or disable access to any Users’ content if it is found to be in violation of this Agreement, applicable laws, or best practices. Such action shall not dilute Quik Pharma’s position as an intermediary or impose any liability upon it.

3.1 Reporting of Illegal Activities

If Quik Pharma suspects any illegal, wrongful, or fraudulent activity by any User, it reserves the right to report such activity to the relevant government or law enforcement authorities and shall cooperate fully with any investigation or request for information.

4. Links to Third Party Websites & Payment Providers

The Platform may contain links to third-party websites, applications, content, advertisers, e-commerce websites, or service providers (“Third Party Websites”). These links are provided solely for Your convenience.

Quik Pharma does not control, endorse, or assume responsibility for the content, accuracy, reliability, or services offered by Third Party Websites. Your access to and use of such websites is entirely at Your own risk and subject to the terms and privacy policies of those Third Party Websites.

The Platform may also provide payment links that redirect You to third-party payment aggregators (“Third Party Payment Providers”) for processing payments related to Services availed through the Platform.

These Third Party Payment Providers may include banks, credit/debit card gateways, payment aggregators, mobile wallet providers, or other entities authorized by the Reserve Bank of India.

You may be required to provide personal, banking, card, UPI, or other payment information on the Third Party Payment Provider’s website. All payment processing shall be governed by the respective provider’s terms and privacy policy.

Quik Pharma acts only as a facilitator and shall not be responsible or liable for any payment failure, loss, theft of personal information, or any other payment-related issues arising from the use of Third Party Payment Providers.

Quik Pharma does not endorse or influence any particular branch of medicine, theory, opinion, or viewpoint expressed on the Platform or on any Third Party Website.

5. Proprietary Rights

Quik Pharma respects the intellectual property rights of others, and We expect the same from You. The Platform, Users’ content and the Quik Pharma Content, including but not limited to all text, graphics, user interfaces, visual interfaces, sounds and music (if any), artwork and computer code (collectively, the “Content”) on the Platform is owned and controlled by the Company and is protected by applicable intellectual property laws.

5.2 Proprietary Rights of Quik Pharma

All intellectual property in and to the Platform, software, techniques and processes belongs exclusively to Quik Pharma or its licensors. No rights are granted to You by implication or otherwise.

The name “Quik Pharma” and all associated trademarks are the exclusive property of Quik Pharma. Unauthorized use shall constitute infringement under applicable law.

Except as expressly stated, all Quik Pharma Content remains the exclusive property of Quik Pharma and/or its licensors.

You are granted a limited, royalty-free, non-commercial right to use the Platform during the period of usage only. No license is granted beyond this.

You shall not reproduce, modify, distribute, sell, republish, or create derivative works of any Quik Pharma Content without written authorization.

5.3 Rights in Users’ Content

You confirm that You own all rights in Users’ content posted by You. You grant Quik Pharma a perpetual, worldwide, royalty-free license to use, reproduce, modify, distribute and create derivative works of such Users’ content.

6. Personal Information

Quik Pharma may collect personal information from You while using the Platform.

Our Privacy Policy available at www.quikpharma.com governs collection, storage, use, transfer and protection of such information.

By clicking “I Accept” or providing personal information, You expressly consent to the Privacy Policy.

Quik Pharma may disclose personal information in accordance with applicable law.

7. Disclaimers

7.1 Interaction Between Registered Users

All interactions between Users and Registered Users are strictly between the concerned parties. Quik Pharma is not responsible for outcomes, services, or advice.

Search results do not constitute endorsement and are generated by an automated algorithm.

Quik Pharma does not guarantee service quality, completion of transactions, or fulfillment of obligations by Registered Users.

The Platform and Services are provided on an “as is” basis without warranties of any kind.

Quik Pharma disclaims all liability related to Users’ content, third-party content, unauthorized account access, platform downtime, technical issues, or data loss.

Quik Pharma shall not be liable for injury, loss, damage, or legal proceedings arising out of Platform transactions.

7.2 No Professional Relationship

Use of the Platform does not create any healthcare or professional relationship.

7.3 No Medical Advice

Information on the Platform is not medical advice and should not substitute professional medical care.

7.4 Platform Reliability

Quik Pharma disclaims warranties relating to security, performance, reliability, or availability of the Platform or Services.

8. Limitation of Liability

To the fullest extent permitted by law, Quik Pharma shall not be liable for any indirect, incidental, special, or consequential damages. Liability shall not exceed the convenience fee paid for the transaction.

9. Representation and Warranties

By using the Platform, You confirm that You are 18 years or older and that all information provided is accurate.

You agree not to misuse the Platform, violate laws, infringe intellectual property, or engage in harmful, fraudulent, or disruptive activities.

You shall not maintain multiple accounts or transfer accounts to third parties.

10. Indemnification

You agree to indemnify and hold harmless Quik Pharma and its affiliates from any claims, losses, damages, or expenses arising from Your use of the Platform or breach of this Agreement.

11. Termination

Quik Pharma may suspend or terminate Your account without notice for violation of the Agreement. Upon termination, Your access and rights shall immediately cease.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be resolved through arbitration in India under the Arbitration and Conciliation Act, 1996. Courts at the designated jurisdiction shall have exclusive authority.

13. Modifications

Quik Pharma reserves the right to modify this Agreement at any time. Continued use constitutes acceptance.

14. Privacy Policy

Protection of Your privacy is important to Quik Pharma. The Privacy Policy forms an integral part of these Terms.

15. General Provisions

If any provision is held unenforceable, the remainder shall remain valid.

Notices shall be sent to the registered address or email.

This Agreement constitutes the complete understanding between the Parties.

Quik Pharma shall not be liable for force majeure events.

Quik Pharma may display advertisements and publicity materials.

In case of conflict, the Privacy Policy shall prevail over these Terms.
